As of: April 2025
Scope of Application
(1) These General Terms and Conditions (GTC) apply to all contracts, deliveries, and other services provided by Assova GmbH, Alt-Tempelhof 37, 12103 Berlin (hereinafter "Assova" or "we") to its customers (hereinafter "Customer").
(2) Assova's services are directed at both entrepreneurs within the meaning of § 14 BGB (German Civil Code), legal entities under public law, or special funds under public law (B2B), as well as consumers within the meaning of § 13 BGB (B2C), particularly in the area of consulting services.
(3) Deviating, conflicting, or supplementary GTC of the Customer shall only become part of the contract if and to the extent that Assova has expressly agreed to their validity in writing.
Subject Matter and Service Areas
Assova GmbH provides specialized services in the following core areas:
Job Placement, Application Support and Freelancer Portal
Placement of professionals and executives as well as apprenticeship positions; connecting freelancers with companies. In addition, Assova provides AI-supported application assistance. Assova explicitly does not provide career consulting in this area.
Energy Industry Services
Services for photovoltaic installation companies as well as private customers, including complete and timely PV grid connection registration with the responsible grid operator and registration in the Core Energy Market Data Register (MaStR) of the Federal Network Agency.
Tech and Engineering / IT and AI Solutions
IT and engineering services including custom software development, implementation of Artificial Intelligence (e.g., AI chatbots, LLM integrations), full-stack development, and further engineering services (e.g., CAD design, energy efficiency audits).
Digital Presence and Marketing
Support for companies with their digital visibility, including strategic consulting, SEO, social media management, content creation, performance marketing, and brand building.
The specific scope of services, the term, and the remuneration result exclusively from the respective individual offer, project contract, or specific service description.
Conclusion of Contract
(1) The presentation of services on the website (www.assova.gmbh) does not constitute a legally binding offer, but rather an invitation to submit an offer.
(2) A contract is only concluded when Assova expressly accepts an offer from the Customer (e.g., via order confirmation by email) or when the Customer accepts a binding offer from Assova in text form (e.g., email, signature tool).
(3) For services in the areas of Tech and Engineering and Digital Presence and Marketing, individual project contracts (contracts for work or services) are generally concluded.
Customer's Duty to Cooperate
(1) The Customer shall support Assova in the provision of the agreed services to a reasonable extent. In particular, the Customer shall provide all information, data, access rights (e.g., to social media accounts or CMS systems), and documents required for the execution of the order in a timely and complete manner.
(2) Insofar as the Customer provides Assova with texts, images, logos, or other content, the Customer guarantees that they are entitled to use and pass on this content and that it does not violate the rights of third parties (especially copyright or trademark rights).
(3) Delays caused by a breach of the Customer's duties to cooperate shall not be borne by Assova. Any resulting additional effort may be invoiced to the Customer.
Remuneration and Payment Terms
(1) The prices agreed upon in the respective contract or offer shall apply. All prices are net plus the applicable statutory value-added tax (VAT).
(2) Unless otherwise agreed, invoices are due for payment without deduction within 14 days of the invoice date.
(3) Assova is entitled to invoice reasonable advance payments for project services (especially Tech and Engineering and Marketing) according to project progress. For ongoing marketing or portal services, billing is generally done monthly in advance.
Rights of Use and Intellectual Property
(1) For all individual work results created within the scope of the service (e.g., specific software code, designs, marketing materials), Assova grants the Customer a simple, spatially and temporally unrestricted right of use for the contractually intended purpose, subject to full payment of the agreed remuneration.
(2) When implementing AI solutions and software, the rights to base technologies, frameworks, AI models, or generic algorithms introduced by Assova remain entirely with Assova, unless expressly agreed otherwise. The Customer only receives a simple right of use for these for the duration of the contract.
(3) Any transfer of usage rights to third parties requires Assova's prior written consent.
Liability and Warranty
(1) Assova is liable without limitation for intent and gross negligence as well as in accordance with the Product Liability Act. For slight negligence, Assova is liable for damages resulting from injury to life, body, and health of persons.
(2) In cases of slight negligence, Assova is otherwise only liable in the event of a breach of a material contractual obligation (cardinal obligation). In this case, liability is limited to the foreseeable, contract-typical damage at the time the contract was concluded.
(3) Assova is not liable for the economic success of marketing measures, the performance of advertisements, or the success of job or apprenticeship placements, as this depends on market conditions. Assova owes the professional provision of services, but not a specific economic outcome.
(4) For AI-supported services, Assova points out that AI models are based on probabilities and "hallucinations" or imprecise outputs cannot be completely ruled out. Liability for the factual accuracy of AI-generated outputs is excluded.
Confidentiality and Data Protection
(1) The parties commit to treating all confidential information obtained from the other party during the cooperation with strict confidentiality and not disclosing it to unauthorized third parties.
(2) Assova processes the Customer's personal data in accordance with applicable data protection regulations (especially GDPR).
(3) If Assova processes personal data on behalf of the Customer as part of the service provision, the parties will conclude a Data Processing Agreement (DPA) in accordance with Art. 28 GDPR.
Final Provisions
(1) The laws of the Federal Republic of Germany shall apply, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
(2) The exclusive place of jurisdiction for all disputes arising from or in connection with this contract is Assova's registered office (Berlin), provided the Customer is a merchant, a legal entity under public law, or a special fund under public law.
(3) Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall not be affected. The invalid provision shall be replaced by a legally valid provision that comes closest to the economic purpose of the invalid provision.
